Brief description: this position plays a key role in corporate legal matters, including compliance filings, mergers and acquisitions, contracts, due diligence, and litigationIn addition, this role assists in preparing and filing of administrative applications for consideration by the arizona corporation commission, including certificates of convenience and necessity, rate applications, and acquisition approvals.
Primary duties:
Works closely with senior leaders of the company on issues related to corporate governance and regulatory matters before the arizona corporation commission.
Prepares legal pleadings, corporate documents, and correspondence as directed.
Proof reads and edits correspondence and other documents.
Prepares corporate resolutions and information for the board of directorsWorks with the board of directors on routine matters.
Tracks and coordinates regulatory compliance requirements and filings.
Technical skills:
Must be able to effectively handle multiple projects simultaneously in a deadline driven environment.
Strong analytical skills.
Excellent verbal, written communication and interpersonal skills.
Intermediate to advanced experience with ms word, ms excel, ms outlook and similar programs.
Ability to work independently and as part of a team and take on new tasks.
The individual will be expected to take ownership of his/her work productThe individual will work closely with all major functional leaders of the company.
Minimum requirements:
Formal education: high school diploma or equivalent with preference for associate degree in paralegal studies or bachelor’s degree in any field.
Experience: five years of experience as a transactional or litigation paralegal or corporate compliance professional.
Certifications: certified paralegal (cp) or similar certification preferred.
Writing: work requires the ability to write memos, letters, reports and keep accurate daily records.
Social skills: work requires regular interaction involving exchange and receipt of information; adjusting actions in relation to others’ actions; trying to reconcile differences; actively looking for ways to help peopleMay interact with customers, fellow employees, and regulators, which needs to be respectful, knowledgeable, and professional in manner.
Physical demands: must be able to perform the following on a regular basis: sitting for extended periods of time; prolonged periods of time with repetitive motions of hands and fingers; close vision, distance vision and ability to adjust focusThe employee must occasionally lift and/or move up to twenty pounds.
