Convening and conducting Board, Committee and Shareholders meetings as per the requirements of company law and secretarial standards, either physically or virtually;
Drafting notices, agendas, notes to agenda and resolutions for the meetings and also, maintain minutes of all meetings;
Ensure that the forms and returns required to be filed with ROC/MCA or any other regulator like RBI, are filed on a timely basis;
Prepare and maintain statutory registers and records of the Company including Directors’ Report/Annual Report;
Advise directors and management of their legal responsibilities and take care of compliances related to Directors like appointment, retirement, regularization, KYC, etc.;
Analyze and implement the changes in company law and related legislation and assist in developing systems/processes to ensure compliance with the same;
Liaising with registrar of companies, share registrar, depository, statutory auditors and other regulatory authorities;
Assist in special projects relating to legal entity reorganization, adoption/alteration of Memorandum of Association and Articles of Association, capital infusion/repatriation, etc.;
Ensure that the Company is compliant with the following at all times:
Companies Act 2013 and allied rules;
Any other regulations impacting the corporate secretarial function
